Board of Directors
The Board of Directors is one of the four governing bodies that oversee our organization. It makes decisions regarding major strategic directions, the program of activities, and the resources required to carry out our missions.
Minutes of the Board of Directors
The Board of Directors’ deliberations and motions are posted on the Santé publique France website, in accordance with the provisions of Article 7 of Santé publique France’s rules of procedure.
The Powers of the Board of Directors
The Board of Directors deliberates on:
Multi-year strategic directions;
The objectives and performance agreement entered into with the government;
The work program and the annual activity report;
The multi-year investment plan;
The institution’s initial budget and amended budgets, the financial statement, the appropriation of results, the staffing table, and loans;
Contracts, public procurement, tenders, and grants exceeding thresholds it sets, and those involving commitments of a duration exceeding a period it defines, subject to the provisions of Section II of Article L. 1413-9 for those entered into at the request of the Minister of Health pursuant to the provisions of Article L. 1413-4;
The general organization of the agency;
The Agency’s internal regulations;
The general terms and conditions of employment and recruitment of staff and the terms of compensation for other persons who assist the agency;
Acquisitions, disposals, and exchanges of real property, and leases and rentals relating thereto;
The acceptance of donations and bequests exceeding a threshold determined by the Minister;
Fees for services rendered and remuneration of any kind owed to the agency in an amount exceeding a threshold determined by the Board;
Authorization to initiate legal proceedings and to negotiate and conclude settlements;
Participation in public interest groups or any other organizations, regardless of their legal status;
The procedures for implementing the rules of professional conduct applicable to members of the agency’s boards and committees, its staff, medical reservists, and persons who occasionally assist the agency or its bodies;
The procedures for implementing the rules of professional conduct applicable to the Agency’s contracting parties;
The list of members of the Scientific Council;
The list of members of the Ethics and Professional Conduct Committee;
The list of members of the Steering and Dialogue Committee;
The rules governing the admissibility of referrals to the Agency other than those governed by Article R. 1413-28;
The rules for determining the compensation due to medical reservists or their employers for periods of service and training in the medical reserve.
Composition of the Board of Directors
In addition to its Chair, who is appointed by decree of the President of the Republic, the Board of Directors has 32 members elected for a four-year term, renewable once. It is composed of:
4 members of Parliament
9 members representing the State
1 representative of the mandatory health insurance schemes
4 representatives of Santé publique France’s institutional partners
3 healthcare professionals
4 representatives of associations
2 elected officials representing local and regional governments
2 experts in fields relevant to Santé publique France’s missions
3 representatives of Santé publique France staff
The following individuals also attend Board of Directors meetings in an advisory capacity:
the Director General of Santé publique France,
the accounting officer,
the budget controller,
the Chair of the Scientific Council,
the Chair of the Ethics and Professional Conduct Committee,
the Chair of the Steering and Dialogue Committee.
